Independent Contractor Agreement

1. Parties & Purpose

This Agreement is between Zippy Services LLC ("Zippy") and you ("Contractor," "Pro"), governing your independent contractor relationship as a Platform Pro.

2. Independent Status

You are an independent contractor—not an employee, agent, partner, or franchisee. Zippy does not direct your work methods or tools.

3. Control & Methods

You decide:

  • Tools, equipment, and supplies
  • Techniques and processes
  • Job order and task performance
  • Whether to subcontract helpers (subject to laws and Zippy policies)

4. Work Schedule

You set your own schedule and choose which jobs to accept. No minimum hours or exclusivity applies.

5. Verification & Compliance

You agree to complete identity and account verification through Stripe Connect. You are responsible for all legal compliance, including obtaining and maintaining any licenses, permits, or certifications applicable to the services you offer. For service categories that Zippy designates as requiring a license or insurance, you must provide proof and keep it current before offering those services.

6. Insurance

Zippy does not provide insurance to you, and Zippy’s own insurance does not cover you or your work. Any coverage you obtain — through Thimble or any other provider — is your own policy, purchased from the insurer to protect you and your business; Zippy is not a party to it and is not responsible for maintaining it. Insurance is not currently required for services offered through the Platform under Texas law, but Zippy strongly recommends general liability coverage. The Insurance and Your Responsibilities sections of the Pro Terms of Service also apply to this Agreement.

7. Taxes

You are responsible for all taxes due on earnings. Zippy will issue IRS Form 1099-NEC where required.

8. Confidentiality

You agree not to disclose Zippy’s confidential or proprietary information except as needed to perform services. This includes business processes, customer data (beyond what’s needed to complete services), and internal policies.

9. Non-Solicitation

During and for six months after this Agreement, you will not solicit or encourage off-Platform work from customers you met through Zippy.

10. Termination

Either party may end this Agreement at any time without notice. You will be paid for completed work.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Zippy Services LLC and its owners, officers, employees, contractors, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your services or your acts or omissions — including claims involving bodily injury, damage to property, your negligence, your violation of law, or tax obligations related to your earnings. This obligation survives termination of this Agreement.

12. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement.

By using the Zippy Pro Platform, you acknowledge that you have read, understood, and agree to this Independent Contractor Agreement.
