Independent Contractor Agreement

1. Parties & Purpose

This Agreement is between Zippy Services LLC ("Zippy") and you ("Contractor," "Pro"), governing your independent contractor relationship as a Platform Pro.

2. Independent Status

You are an independent contractor—not an employee, agent, partner, or franchisee. Zippy does not direct your work methods or tools.

3. Control & Methods

You decide:

  • Tools, equipment, and supplies
  • Techniques and processes
  • Job order and task performance
  • Whether to subcontract helpers (subject to laws and Zippy policies)

4. Work Schedule

You set your own schedule and choose which jobs to accept. No minimum hours or exclusivity applies.

5. Verification & Compliance

You agree to complete identity and account verification through Stripe Connect. You are responsible for all legal compliance, including applicable licenses or permits.

6. Taxes

You are responsible for all taxes due on earnings. Zippy will issue IRS Form 1099-NEC where required.

7. Confidentiality

You agree not to disclose Zippy's confidential or proprietary information except as needed to perform services. This includes business processes, customer data (beyond what's needed to complete services), and internal policies.

8. Non-Solicitation

During and for six months after this Agreement, you will not solicit or encourage off-Platform work from customers you met through Zippy.

9. Termination

Either party may end this Agreement at any time without notice. You will be paid for completed work.

10. Indemnification

You agree to indemnify and defend Zippy from loss or liability arising from your services, including tax claims.

11. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement.

By using the Zippy Pro Platform, you acknowledge that you have read, understood, and agree to this Independent Contractor Agreement.
